Terms of Service

These Terms and Conditions (“Terms”) govern your access to and use of the transcodes.io and application (the “Service”), operated by Bigstrider, Inc. (“Bigstrider”, “we”, “us”, or “our”). Please read these Terms and Conditions carefully before using the Service.

By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.

These Terms apply to all users of the Service, including but not limited to visitors, registered users, and any other individuals or entities who access or interact with the Service.

Please review these Terms carefully. We may update these Terms from time to time, and your continued use of the Service constitutes your acceptance of any changes.

Subscriptions

Certain features of the Service are offered on a subscription basis (“Subscription(s)”), billed in advance on a recurring schedule (“Billing Cycle”). Billing Cycles may be monthly or annual, depending on the subscription plan you select at the time of purchase.

At the end of each Billing Cycle, your Subscription will automatically renew under the same terms unless you disable auto-renewal (“Auto Renewal”) or we cancel it. You may cancel Auto Renewal at any time through your account settings or by contacting our customer support team.

To activate and maintain a Subscription, you must provide a valid payment method, such as a credit card. You agree to supply accurate and complete billing information, including your full name, billing address, state, postal code, and a valid payment method. By submitting this information, you authorize us to charge all applicable Subscription fees to the provided payment instrument.

If a payment attempt fails, our system will retry the charge multiple times over the following week. You will receive email notifications for each failed attempt. If all retry attempts fail, your Subscription will be canceled.

In the case of repeated payment failures, we reserve the right to take additional actions, including but not limited to: canceling your Subscription, restricting access to certain billing options or frequencies, blocking your domain from using our services, or displaying a warning message within your application.

Free Trial

We may, at our sole discretion, offer a Subscription with a Free Trial for a limited time (“Free Trial”).

By default, Free Trial periods extend until the first calendar day of the following month. For example, if you begin your Free Trial on June 15, your billing will start automatically on July 1—unless you cancel your Subscription or disable Auto-Renewal before then.

Unless canceled, you will be charged the applicable Subscription fees on the first day of the next month following your Free Trial start date. If automatic billing fails at that time, your Subscription will be canceled immediately.

If you purchase a Subscription during the Free Trial period, your trial will end immediately and billing will begin at the time of purchase.

We reserve the right, at any time and without notice, to modify the terms of the Free Trial or cancel the Free Trial offer entirely.

Script

Certain features of the Service may require you to embed proprietary code snippets hosted by us (“Script”) into the source code of one or more websites or applications that you own or control (“Site” or “Sites”).

If your Subscription is canceled for any reason, you must promptly remove all instances of the Script from your Sites before the Subscription expires. Continued use, access, or loading of the Script without an active Subscription is strictly prohibited.

Unauthorized use of the Script includes, but is not limited to, embedding or executing the Script without a valid and current Subscription, attempting to decompile, disassemble, or derive the Script’s source code without our explicit permission, and accessing or interacting with the Script or its related services using automated tools, bots, or any other unauthorized methods.

If you fail to remove the Script after your Subscription has ended or engage in any form of unauthorized use, we reserve the right, at our sole discretion, to take enforcement actions. These may include displaying a warning message directly within your Sites, blocking your domain from accessing our services, restricting access to certain billing options or renewal frequencies, or issuing an invoice for unpaid usage, which may include penalties or additional charges.

Fee Changes

Subscription fees may automatically adjust based on your usage of the Service.

We reserve the right, at our sole discretion and at any time, to modify the pricing of any Subscription plan. Any changes to Subscription fees will take effect at the end of your current Billing Cycle.

You will be provided with reasonable advance notice regarding any upcoming changes to Subscription fees. This notice is intended to give you the opportunity to cancel your Subscription before the new rates are applied.

By continuing to use the Service after the updated Subscription fee takes effect, you agree to pay the revised amount in accordance with the new pricing terms.

Refunds

Unless otherwise required by applicable law, all paid Subscription fees are non-refundable.

If you are a customer based in the European Union, you are entitled to a 14-day right of withdrawal beginning on the date of purchase of digital goods. This right allows you to request a refund within that period, subject to relevant consumer protection laws.

Intended Use

This software is intended exclusively for business use. By accessing or using the Service, you represent and warrant that you are doing so solely for business purposes and not for personal, individual, or household use. If we determine that the software is being used for non-business purposes, we reserve the right to terminate your account and access to the Service without any obligation to refund previously paid fees.

If you are located in the European Union (EU) or the United Kingdom (UK), you acknowledge that you may be responsible for Value-Added Tax (VAT) under the reverse charge mechanism. As a business user, it is your responsibility to comply with all applicable VAT regulations, including registering for VAT and properly accounting for VAT under the reverse charge mechanism. You agree to indemnify and hold us harmless against any claims, liabilities, or expenses that arise due to your failure to meet these VAT obligations.

Links To Other Web Sites

The Service may include links to third-party websites or services that are not owned, operated, or controlled by us. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites. Your access and use of such third-party sites are at your own risk.

Termination and Disclaimers

We reserve the right to suspend or terminate your account and Subscription at any time, with or without prior notice, if you violate these Terms or for any other reason at our sole discretion. Upon termination, all rights granted to you under the Service will immediately cease. If you choose to terminate your account, you may do so by discontinuing use of the Service.

Your use of the Service is at your own risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind—express or implied—including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

To the fullest extent permitted by law, Bigstrider, Inc. and its directors, employees, agents, partners, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages or if any remedy fails of its essential purpose.

Changes

We reserve the right to update, modify, or replace these Terms at any time. If a change is deemed material, we will make a reasonable effort to provide at least 30 days’ notice prior to the changes taking effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of those changes.
